You may not use our branding without written permission. **Client Deliverables:** Upon full payment, clients receive full ownership of custom code, designs, and content created specifically for their project, as outlined in the project SOW. This transfer of ownership applies only to the custom deliverables — not to our underlying frameworks, tools, or reusable components. **Open Source:** Some components used in our projects may be based on open-source libraries. These remain subject to their respective open-source licenses. **Portfolio Rights:** Unless explicitly agreed otherwise, WaafiTech retains the right to showcase completed projects in our portfolio, case studies, and marketing materials.

- All project pricing is outlined in the project proposal or SOW - Standard payment schedule: 40% upon project kickoff, 30% at design approval, 30% at final delivery - Custom payment schedules may be arranged for Enterprise engagements - Invoices are due within 14 days of issuance unless otherwise agreed - Late payments may incur a fee of 1.5% per month on the outstanding balance - We reserve the right to pause work on projects with overdue payments - All prices are in USD unless otherwise specified - Taxes are the responsibility of the client and are not included in quoted prices - Refund policy: If we are unable to deliver agreed-upon deliverables, a pro-rata refund will be issued for undelivered work

To the maximum extent permitted by law: - WaafiTech shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services - Our total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific project giving rise to the claim - We are not responsible for delays caused by client non-responsiveness, third-party service outages, or force majeure events - We do not guarantee specific business outcomes (revenue increases, traffic growth, etc.) from our services, though we strive for measurable results - Our website and services are provided "as is" without warranties of any kind, express or implied This limitation of liability applies regardless of the legal theory under which liability is sought.

**By Client:** You may terminate a project engagement at any time with 14 days written notice. Payment is due for all work completed up to the termination date plus any non-refundable third-party costs incurred. **By WaafiTech:** We may terminate a project if: - Payment obligations are not met within 30 days of the due date - The client engages in conduct that is unlawful, unethical, or harmful to our reputation - The client repeatedly fails to provide necessary feedback or approvals within agreed timeframes - Continuation of the project becomes commercially unreasonable due to scope changes **Upon Termination:** All completed deliverables for which payment has been received will be transferred to the client. Work-in-progress may be delivered at our discretion. Both parties remain bound by confidentiality obligations.

These Terms of Service are governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Dhaka, Bangladesh. For clients outside Bangladesh, we are open to agreeing on alternative jurisdiction and dispute resolution mechanisms in the project SOW.
